1. Definitions

“WhatsApp Business Platform” refers to the messaging infrastructure provided by Meta Platforms.
“Services” include WhatsApp API access, chatbot solutions, automation, messaging systems, integrations, hosting, dashboards, and support services.
2. Eligibility
By using our Services, you confirm that:
You are at least 18 years old.
You have authority to represent your business or organization.
You will use the Services only for lawful business purposes.
You will comply with all applicable laws and regulations.
3. Account Registration

WhatsApp number bans or restrictions
Template rejections
Messaging limitations imposed by Meta
Policy violations committed by users
Accounts violating WhatsApp or Meta policies may be suspended without prior notice.
6. Fees, Billing & Payments
Certain Services may require payment of:
Subscription fees
Wallet recharge amounts
Messaging charges
Setup or integration fees
Third-party service charges
You agree that:
All payments are non-refundable unless explicitly stated otherwise.
Pricing may change with prior notice.
Taxes and government charges are additional where applicable.
Failure to make payment may result in suspension of Services.
7. Refund Policy
Unless otherwise agreed in writing:
Wallet recharges are non-refundable.
Consumed API credits cannot be reversed.
Setup and onboarding charges are non-refundable.
Refund requests, if applicable, are reviewed case-by-case.
8. Service Availability
We strive to maintain uninterrupted Services; however, we do not guarantee:
Continuous uptime
Error-free operations
Instant message delivery
Availability of third-party services
Service interruptions may occur due to:
Maintenance activities
Third-party failures
Internet/network issues
Meta or WhatsApp outages
9. Data Privacy
Your use of our Services is also governed by our Privacy Policy.
By using the Services, you consent to:
Processing of data required for platform operations
Storage of logs and messaging data
Sharing information with authorized third-party providers where necessary
Users are responsible for obtaining lawful consent from their end customers.
10. Intellectual Property
All platform content, software, branding, APIs, dashboards, designs, and materials are the intellectual property of Green Ping Solutions unless otherwise stated.
You may not:
Copy or reproduce platform software
Reverse engineer systems
Resell Services without authorization
Use our branding without written consent
11. User Content
You are solely responsible for:
Message content
Media uploads
Customer contact data
Campaign communications
We do not monitor all user-generated content but reserve the right to remove content that:
Violates laws or policies
Contains harmful or offensive material
Creates security or compliance risks
12. Limitation of Liability
To the maximum extent permitted by law, Green Ping Solutions shall not be liable for:
Loss of profits or business opportunities
Data loss
Indirect or consequential damages
WhatsApp account suspension
Delivery delays or failures caused by third parties
Our total liability shall not exceed the amount paid by you for the Services during the previous three (3) months.
13. Indemnification
You agree to indemnify and hold harmless Green Ping Solutions, its employees, partners, and affiliates from claims, damages, liabilities, or expenses arising from:
Your misuse of the Services
Violation of laws or regulations
Breach of these Terms
Unauthorized messaging activities
14. Suspension & Termination
We reserve the right to suspend or terminate your account without prior notice if:
You violate these Terms
You breach WhatsApp/Meta policies
Fraudulent or abusive activity is detected
Required payments remain unpaid
Upon termination:
Access to the platform may be revoked
Stored data may be deleted after a reasonable period
Outstanding dues remain payable
15. Third-Party Services
Our Services may integrate with third-party providers including:
Meta Platforms
WhatsApp Business Platform
Cloud hosting providers
CRM and automation tools
Payment gateways
We are not responsible for third-party outages, policies, or service changes.
16. Confidentiality
Both parties agree to maintain confidentiality of sensitive business information shared during the use of the Services.
Confidential information shall not be disclosed except:
With prior written consent
As required by law
To authorized service providers under confidentiality obligations
17. Force Majeure
We shall not be liable for delays or failures caused by events beyond reasonable control, including:
Natural disasters
Government restrictions
Internet failures
Cyberattacks
Power outages
Third-party platform disruptions
18. Governing Law & Jurisdiction
These Terms shall be governed by the laws of India.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of courts located in Ahmedabad, Gujarat.
19. Modifications to Terms
We may update these Terms from time to time.
Updated versions will be posted on our website with a revised effective date. Continued use of the Services after updates constitutes acceptance of the revised Terms.
